Dimitri L. Karapelou is Of-Counsel at the Firm.  Dimitri brings to Musi, Merkins, Daubenberger & Clark a 28-year background representing debtors, creditors, trustees and other interested parties in bankruptcy, business transactions and commercial disputes. His range of experience offers a balanced perspective to any matter.  Some of Dimitri’s work has included the following engagements:

  • Representation of companies in chapter 11 bankruptcy concluding with a reorganization plan that improves the company’s balance sheet and fresh start to operations;
  • Representation of businesses in non-bankruptcy loan workouts, closings, and liquidations;
  • Representation of individuals in chapters 7, 11 and 13 resulting in the discharge of substantial debts;
  • Representation of clients involved in transactions including secured financing, asset purchase agreements, delinquent loan workouts, forbearance agreements, complex settlements, bankruptcy assets sales and debtor-in-possession financing; and
  • Representation of litigants in trials and contested proceedings in bankruptcy, state, and federal courts.

Notable Past Representations

Business liquidations:

  • Represented large retail supply store (multiple locations) in the liquidation of its entire business and negotiation/settlement of personal guarantees.
  • Represented medical imaging company in Northeast Philadelphia with a high patient volume and valuable assets. Negotiated peaceful surrender of company assets to secured lender which sold them to a third party and resulted in continuity of business operations and the retention of many employees.
  • Represented regional home builder in complex Chapter 7 liquidation having hundreds of creditors and claims.

Business Reorganizations:

  • Representation of restaurant. Confirmed Chapter 11 plan providing for sale of business with full payments to unsecured creditors and distributions to equity holders.
  • Representation of ground transportation business. Confirmed Chapter 11 plan of reorganization that was accepted by unsecured creditor class.
  • Representation of local real estate developer. Confirmed Chapter 11 plan of reorganization for single asset real estate debtor that provided for sale of real estate.

Individual reorganizations:

  • Representation of individuals in large and complex personal Chapter 11 cases. Successfully reorganized individuals who retained key assets and received a Chapter 11 discharge at conclusion of the bankruptcy plan payment period.
  • Representation of general contractor in Chapter 13 reorganization where debtor paid over $250,000 to unsecured creditors, comprised of mostly business taxes, and which resulted in a 100% distribution and the debtor retaining all assets including several pieces of real estate.

Creditor representations:

  • Representation of advertising business in defense of a fraudulent transfer lawsuit brought by Chapter 7 trustee who sought an injunction. Settled lawsuit and lifted injunction request.
  • Representation of individual creditor in a personal Chapter 11; advocacy contributed to the appointment of a Chapter 11 trustee. Case converted to Chapter 7 liquidation.
  • Representation of antique dealer in a chapter 7 case involving substantial fraud by debtor. Objected to discharge of a Chapter 7 debtor on behalf of a creditor; debtor waived the entire Chapter 7 discharge.

Involuntary bankruptcy cases:

  • Representation of involuntary Chapter 7 debtor: persuaded bankruptcy court to dismiss case after full trial on the merits.
  • Representation of petitioning creditors of construction company in commencement of Chapter 7 liquidation.
